1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the website located at [www.paradym.partners] (the “Website”) and, to the extent set out below, the general relationship between Paradym Partners Limited (“Paradym,” “we,” “us” or “our”) and any person or entity that visits the Website, submits an enquiry, or engages Paradym for consulting services (“you,” “your,” or “Client”).
By accessing or using the Website, submitting information through it, or engaging Paradym for Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Website.
These Terms apply to general use of the Website and to the pre-engagement relationship between Paradym and prospective clients. They are not a substitute for, and do not by themselves create, a contract for consulting or software development services. Any such engagement is governed exclusively by a separate written Master Services Agreement and one or more Schedules of Work signed by both parties (each an “MSA”), and in the event of any conflict between these Terms and a signed MSA, the MSA governs the engagement to which it relates.
2. About Paradym Partners
Paradym Partners Limited is a company incorporated under the laws of England and Wales, registered number 16419067, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX. Paradym provides technology and software consulting services, including AI-assisted software development, to businesses on a project and engagement basis.
3. Definitions
Deliverables means any work product, reports, software, code, or other materials created for a Client under a signed MSA and SOW.
Services means the consulting, software development, and related services Paradym provides to Clients under an MSA.
Personal Data, Controller, Processor and related terms have the meanings given in the UK GDPR and, where applicable, the EU GDPR.
Content means all text, graphics, logos, software, tools (including Paradym Switch), and other material made available on or through the Website.
4. Eligibility and Use of the Website
The Website is intended for business and professional audiences. By using the Website, you confirm that you are at least 18 years old and are accessing it for legitimate business purposes, whether on your own behalf or on behalf of an organisation you are authorised to represent.
You may use the Website only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of, and any access credentials issued in connection with, the Website comply with these Terms and all applicable laws.
5. Acceptable Use
Without limiting Section 4, you agree that you will not, and will not permit any third party to:
Use any deep-link, scraper, robot, bot, spider, data-mining tool, or similar automated means to access, copy, extract, or monitor any part of the Website or its Content, except through publicly supported interfaces (e.g. standard search engine indexing) or with Paradym’s prior written consent;
Reverse engineer, decompile, or attempt to derive the source code or underlying structure of any software made available on or through the Website;
Use the Website or its Content to train, fine-tune, or otherwise develop any machine learning, large language, or other artificial intelligence model, except as expressly permitted in writing;
Introduce viruses, malware, or other harmful code, or attempt to gain unauthorised access to the Website, its infrastructure, or any related systems or accounts;
Misrepresent your identity or affiliation, impersonate any person or entity, or use the Website to transmit unlawful, defamatory, infringing, or fraudulent content; or
Use the Website in any way that could damage, disable, overburden, or impair it, or interfere with any other party’s use of it.
We may suspend or restrict access to the Website, without notice, for any person we reasonably believe has violated this Section.
6. Engaging Our Services
Nothing on the Website constitutes an offer capable of acceptance, and no consulting or development engagement, minimum volume of work, or exclusivity is created by your use of the Website, submission of an enquiry, or receipt of a proposal or estimate. Any estimate, case study, or description of methodology on the Website is provided for general information only and does not form part of any contract.
An engagement for Services becomes binding only when both parties have signed an MSA and, where applicable, a Schedule of Work (SOW) describing the specific Services, Deliverables, fees, and timeline. The terms of the signed MSA and SOW will govern that engagement, including matters such as confidentiality, intellectual property ownership, data processing, liability, and termination.
If you submit an enquiry or unsolicited materials to Paradym through the Website (for example, through a contact form), you acknowledge that such materials are not automatically subject to confidentiality obligations unless and until Paradym agrees in writing to treat them as confidential (including under a non-disclosure agreement or a signed MSA).
7. Intellectual Property
The Website and its Content are owned by Paradym or its licensors and are protected by copyright, trade mark, and other intellectual property laws. “Paradym,” “Paradym Partners,” “Paradym Switch,” and associated logos are trade marks or trading names of Paradym. Nothing in these Terms grants you any right to use Paradym’s names, trade marks, or logos without our prior written consent.
Subject to these Terms, Paradym grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website and its Content for your own internal, non-commercial evaluation of Paradym’s services. You may not reproduce, distribute, modify, publicly display, or create derivative works from the Content, except as necessary to print or save pages for your own personal reference, without our prior written consent.
Ownership of intellectual property in Deliverables created for a Client under an engagement (including the allocation of Background IP and Foreground IP, as those terms may be defined in the applicable MSA) is governed exclusively by that MSA and not by these Terms.
8. Security, Data Protection, and Compliance Commitments
Paradym processes personal data submitted through the Website (for example, through enquiry or contact forms) in accordance with our Privacy Policy, and, where Paradym acts as a processor on behalf of a Client under a signed MSA, in accordance with the data processing terms set out in that MSA, which are designed to satisfy Article 28 of the UK GDPR and EU GDPR.
Paradym maintains an information security programme, including administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of Client and Website data. Paradym is in the process of aligning its information security management practices with ISO/IEC 27001 and with the AICPA Trust Services Criteria that underpin a SOC 2 report, and is aligning its artificial intelligence governance practices with ISO/IEC 42001, the international standard for AI management systems.
These references describe the objectives and current direction of Paradym’s compliance programme and do not constitute a representation that Paradym holds ISO/IEC 27001 or ISO/IEC 42001 certification, or a SOC 2 report or attestation, as of the date of these Terms. Paradym will update this section, and will make available relevant certificates, attestation letters, or audit summaries on request, once and if any such certification or attestation is obtained. Clients seeking current details of Paradym’s security posture, sub-processors, or applicable safeguards for international data transfers may contact us using the details in Section 19 or refer to the data processing terms of their MSA.
9. Responsible and Trustworthy Use of AI
Paradym uses artificial intelligence tools, including generative AI and its proprietary tooling (currently marketed as “Paradym Switch”), to assist in delivering Services. Consistent with the governance principles underlying ISO/IEC 42001, Paradym’s approach to the responsible use of AI in service delivery includes the following commitments:
Human oversight: AI-assisted outputs used in Deliverables are reviewed by qualified Paradym personnel before delivery to a Client.
Data protection by design: Client Confidential Information and Materials are not used to train or fine-tune Paradym’s or any third party’s general-purpose AI models or software, except to the limited extent expressly agreed in a signed MSA.
Transparency: where AI materially contributes to a Deliverable, Paradym will disclose this to the Client on reasonable request and describe the role AI played, consistent with the confidentiality of Paradym’s own methodologies and tooling.
Risk management: Paradym periodically assesses risks associated with its use of AI in service delivery (including data security, accuracy, and third-party model dependencies) and adjusts its practices accordingly.
Accountability: a designated member of Paradym’s leadership is responsible for oversight of Paradym’s AI governance programme.
This Section describes Paradym’s general practices and does not modify, and is subject to, the specific terms (including any restrictions on the use of Client Materials and Deliverables in connection with AI systems) agreed in a signed MSA.
10. Third-Party Links and Services
The Website may contain links to third-party websites or services that are not owned or controlled by Paradym. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party website or service. Access to any linked site is at your own risk.
11. Disclaimers
The Website and its Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, to the fullest extent permitted by applicable law.
Paradym does not warrant that the Website will be uninterrupted, error-free, or secure, or that any defects will be corrected. Any general information, case studies, or descriptions of methodology on the Website are provided for illustrative purposes only and do not constitute professional advice or a guarantee of any particular outcome from engaging Paradym’s Services.
Nothing in this Section limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
12. Limitation of Liability
To the fullest extent permitted by applicable law, and subject to Section 11 and Section 13, Paradym shall not be liable to you for any indirect, special, incidental, or consequential loss or damage, or for any loss of profits, revenue, business, goodwill, or data, arising out of or in connection with your use of the Website, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such loss.
Subject to Section 13, Paradym’s total aggregate liability to you arising out of or in connection with the Website and these Terms shall not exceed the greater of (a) £100, or (b) the total fees, if any, paid by you to Paradym for access to the Website in the twelve (12) months preceding the event giving rise to the claim. This Section does not limit Paradym’s liability to a Client under a signed MSA, which is governed exclusively by the liability provisions of that MSA.
Nothing in these Terms excludes or limits either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited as a matter of law.
13. Indemnification
You agree to indemnify and hold harmless Paradym, its officers, directors, employees, and agents from and against any third-party claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right.
14. Anti-Bribery, Sanctions, and Export Control
Paradym conducts its business in compliance with applicable anti-bribery and anti-corruption laws, including the UK Bribery Act 2010 and, where applicable, the U.S. Foreign Corrupt Practices Act, and with applicable export control and economic sanctions laws. Paradym does not offer, give, solicit, or accept any bribe or unlawful inducement in connection with its business or the Website.
15. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute arising from these Terms through informal negotiation. Subject to that, each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales, and venue shall lie in London, England. Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
16. Changes to These Terms
Paradym may update these Terms from time to time to reflect changes in our practices, services, or applicable law. The “Last updated” date at the top of this page indicates when these Terms were last revised. Material changes will be indicated on the Website, and your continued use of the Website after such changes take effect constitutes acceptance of the revised Terms. Changes to these Terms do not affect the terms of any MSA already signed with a Client, which may only be amended as set out in that MSA.
17. Suspension and Termination of Access
Paradym may suspend or terminate your access to the Website, in whole or in part, at any time and without notice, if we reasonably believe you have violated these Terms or if we discontinue the Website or any part of it. Sections of these Terms that by their nature should survive termination (including Sections 7, 11 to 15, and 20) will survive.
18. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paradym regarding use of the Website and supersede any prior agreements on that subject. They do not supersede any signed MSA governing a specific engagement.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or, if that is not possible, severed, and the remaining provisions will continue in full force.
No Waiver. No failure or delay by Paradym in exercising any right under these Terms operates as a waiver of that right.
Assignment. You may not assign or transfer any rights under these Terms without Paradym’s prior written consent. Paradym may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all of its assets.
No Third-Party Rights. A person who is not a party to these Terms has no right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Paradym.
